Independent Contractor Agreement

1. Purpose

Screening Services Mobile, LLC operates an online marketplace that connects individuals and businesses seeking specimen collection services with independent specimen collectors.

The Company's role is strictly limited to facilitating introductions between customers and independent Collectors. Screening Services Mobile, LLC does not employ Collectors, provide specimen collection services, supervise collections, schedule appointments, establish pricing, collect payments (unless expressly stated elsewhere), or control the manner in which services are performed.

Once customer information has been transmitted to a Collector, the Company's involvement is complete.

2. Independent Contractor Status

Collector is an independent contractor and is not an employee, agent, representative, partner, franchisee, joint venturer, or legal representative of Screening Services Mobile, LLC.

Nothing contained in this Agreement shall be construed as creating an employment relationship.

Collector is solely responsible for:

• Determining work availability;

• Accepting or declining customer requests;

• Setting appointment dates and times;

• Communicating directly with customers;

• Negotiating and collecting payment from customers;

• Performing specimen collection services;

• Paying all applicable federal, state, and local taxes;

• Paying all business expenses;

• Maintaining all required licenses, certifications, permits, registrations, and insurance.

Collector remains free to perform services for any other company, laboratory, healthcare provider, or client without restriction.

3. Lead Referral Services

Screening Services Mobile, LLC solely provides customer lead referral services.

Customer requests may include:

• Customer name;

• Contact information;

• ZIP code or service location;

• Requested services;

• Preferred appointment dates or times;

• Any other information voluntarily submitted by the customer.

Upon transmission of this information to the Collector, Screening Services Mobile, LLC has no further involvement in the transaction.

Collector is solely responsible for contacting the customer, confirming service details, scheduling appointments, determining pricing, collecting payment, performing services, maintaining customer relationships, and resolving customer complaints.

Screening Services Mobile, LLC is not responsible for completed services, cancellations, payment disputes, refunds, chargebacks, customer satisfaction, collection outcomes, or any dispute between Collector and customer.

4. Licensing and Certifications

Collector represents and warrants that all required professional licenses, certifications, registrations, and permits are current, valid, and maintained in compliance with all applicable federal, state, and local laws.

Collector agrees to provide copies of requested credentials before activation of their account and upon renewal.

Screening Services Mobile, LLC may verify submitted credentials but does not guarantee their validity to customers and assumes no responsibility for inaccurate, expired, suspended, or revoked credentials.

The Company reserves the right to suspend or terminate any account if required credentials expire or become invalid.

5. Customer Information

Customer information is provided solely for the purpose of fulfilling the requested specimen collection service.

Collector agrees to:

• Use customer information only to provide requested services;

• Protect customer privacy;

• Comply with all applicable privacy and data protection laws;

• Not sell, distribute, disclose, or misuse customer information.

6. Compliance With Laws

Collector agrees to comply with all applicable federal laws, state laws, local ordinances, professional standards, laboratory requirements, and licensing regulations.

Collector is solely responsible for determining whether services may legally be performed within each jurisdiction.

7. Insurance

Collector is solely responsible for maintaining all insurance required by law or reasonably necessary for their business, including professional liability insurance where applicable.

Screening Services Mobile, LLC does not provide insurance coverage for Collectors.

8. Payment

Unless expressly stated otherwise in writing, Screening Services Mobile, LLC does not collect payment for specimen collection services.

Collectors negotiate their own fees and collect payment directly from customers.

The Company is not responsible for unpaid invoices, billing disputes, refunds, chargebacks, or collection of unpaid balances.

9. No Medical Supervision

Screening Services Mobile, LLC does not practice medicine, practice nursing, provide healthcare services, direct patient care, supervise specimen collection, train Collectors, establish collection protocols, or control how services are performed.

Collector exercises independent professional judgment in providing services.

10. Background and Credential Verification

Screening Services Mobile, LLC may request documentation, verify credentials, or conduct background screenings where permitted by law.

Approval to use the platform does not constitute certification, endorsement, recommendation, or a guarantee of qualifications or future work.

11. Platform Rules

Collectors agree to:

• Maintain accurate profile information;

• Respond professionally to customers;

• Keep licenses and certifications current;

• Conduct themselves ethically;

• Follow all applicable laws;

• Avoid fraudulent, deceptive, or misleading conduct.

The Company may suspend or terminate any account for violations of this Agreement or conduct that may expose the Company, customers, or other users to legal, financial, or reputational risk.

12. Confidentiality

Collector agrees to maintain the confidentiality of customer information, platform information, business processes, proprietary information, and non-public Company information.

These obligations survive termination of this Agreement.

13. Indemnification

Collector agrees to defend, indemnify, and hold harmless Screening Services Mobile, LLC and its owners, members, managers, officers, directors, employees, affiliates, contractors, successors, assigns, and agents from and against any claims, liabilities, damages, losses, judgments, penalties, fines, costs, and reasonable attorneys' fees arising from or related to:

• Services performed by Collector;

• Professional negligence;

• Misconduct;

• Licensing violations;

• Violations of applicable law;

• Breach of this Agreement;

• Injury, illness, or damages allegedly arising from Collector's services;

• Any dispute between Collector and a customer.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Screening Services Mobile, LLC shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

• Injuries;

• Medical outcomes;

• Laboratory testing outcomes;

• Lost profits;

• Lost business opportunities;

• Customer disputes;

• Payment disputes;

• Scheduling issues;

• Service quality;

• Professional negligence;

• Licensing violations;

• Acts or omissions of any Collector.

Collector agrees that Screening Services Mobile, LLC acts solely as a referral marketplace and bears no responsibility for services performed by independent Collectors.

15. Account Termination

Either party may terminate this Agreement at any time.

Screening Services Mobile, LLC may immediately suspend or terminate Collector's account for violations of this Agreement, expired credentials, unlawful conduct, fraudulent activity, customer complaints, or any conduct that may expose the Company or its users to legal or reputational risk.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. To the extent a dispute concerns services performed by the Collector, the laws of the state in which the Collector is located may also apply. The exclusive venue for any dispute involving Screening Services Mobile, LLC shall be the state and federal courts located in St. Lucie County (Port St. Lucie), Florida.

17. Entire Agreement

This Agreement constitutes the complete and entire agreement between Screening Services Mobile, LLC and the Collector regarding use of the Company's platform and supersedes all prior oral or written agreements relating to the same subject matter.

18. Electronic Acceptance

By selecting "I Agree," creating an account, accessing the platform, or continuing to use the Company's website or mobile application, Collector acknowledges that they have read, understood, and voluntarily agree to be legally bound by this Agreement.
